These Terms & Conditions (“Terms,” “Terms of Use,” or “Agreement”) govern your use of the online interfaces and properties, including websites, landing pages, forms, mobile applications, portals, and related online tools owned or controlled by First Coast Running Medicine, LLC (“First Coast Running Medicine,” “we,” “us,” and “our”), including https://www.firstcoastrunningmedicine.com/ and any First Coast Running Medicine mobile application(s) (collectively, the “Site”). These Terms also apply to online educational, movement, performance, wellness, scheduling, communication, and related services made available through the Site (collectively, the “Services”).

5. Availability of Services

6. Ordering and Purchasing of Services
6.1 Typographical Errors and Incorrect Pricing
If a Service, product, package, membership, program, subscription, or other offering is listed at an incorrect price due to typographical error, technical issue, or pricing error, First Coast Running Medicine reserves the right to refuse or cancel any orders placed at the incorrect price. If your credit or debit card has already been charged and your order is canceled, we will issue a credit to your payment method in the amount charged.

If First Coast Running Medicine is unable to secure funds from the payment method you provide, including due to insufficient funds, expired card information, chargeback, inaccurate information, or other payment failure, First Coast Running Medicine may pursue collection of amounts owed to the extent permitted by law.
6.3 Subscriptions, Memberships, and Recurring Payments
If you purchase a subscription, membership, payment plan, or recurring service, your subscription or membership will automatically renew at the end of the applicable billing period unless you cancel before the end of the then-current billing period.
If you cancel, your access may continue through the end of the current paid billing period unless otherwise stated in the specific offer, agreement, or checkout terms.
First Coast Running Medicine may change the price of memberships, subscriptions, or recurring Services from time to time and will communicate applicable price changes in advance where required. Price changes will take effect at the start of the next billing period following the date of the price change. Subject to applicable law, continued use of the Services after the price change takes effect constitutes acceptance of the new price.
6.4 Free Trials
If a subscription, membership, program, or Service begins with a free trial, the duration and terms of the free trial will be specified during sign-up. Free trial eligibility is determined by First Coast Running Medicine at its sole discretion. We may limit eligibility or duration to prevent abuse. Unless you cancel before the end of the free trial, your payment method may be charged for the next billing cycle according to the offer terms presented at sign-up.
7. Eligibility; Site Access; Security; Passwords
You agree to provide accurate, complete, and truthful information when creating an account, submitting forms, purchasing Services, scheduling appointments, or communicating with First Coast Running Medicine.

If a licensed healthcare provider, coach, contractor, collaborator, or other professional uses any First Coast Running Medicine Site, tool, product, template, program, or Service in connection with that provider’s own clients or patients, that provider is solely responsible for the provider’s professional services, judgment, documentation, consents, notices, billing, collections, compliance obligations, and relationship with the provider’s own patients or clients.
First Coast Running Medicine does not provide legal advice and does not guarantee that any Site, tool, template, program, or Service satisfies a provider’s legal, clinical, ethical, billing, documentation, scope-of-practice, privacy, or compliance obligations. Providers should seek their own legal, compliance, and professional guidance.

14. Intellectual Property

19. Dispute Resolution; Arbitration Agreement
We will try to work in good faith to resolve any issue you have with the Site or Services if you bring that issue to our attention.
You and First Coast Running Medicine agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or Services ordered or purchased through the Site may be determined by binding arbitration instead of in courts of general jurisdiction, except where prohibited by applicable law.
Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to limited review by courts. By agreeing to these Terms, you and First Coast Running Medicine waive the right to a trial by jury and the right to participate in a class action, except where such waiver is prohibited by applicable law.
If you desire to assert a claim against First Coast Running Medicine, you must first send written notice of your claim by certified mail to First Coast Running Medicine at the business address listed in the Contact Information section of these Terms. The notice must describe the nature and basis of the claim or dispute and set forth the specific relief sought.
If First Coast Running Medicine and you do not reach an agreement to resolve the claim within 30 days after notice is received, either party may commence arbitration or file a claim in small claims court where permitted.
The arbitration will be governed by the applicable rules of the American Arbitration Association or another mutually agreed arbitration provider, unless otherwise required by law. Unless First Coast Running Medicine and you agree otherwise, arbitration hearings will take place in the State of Florida, in a location reasonably convenient for the parties, or remotely where permitted.
You and First Coast Running Medicine agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, except where such limitation is prohibited by applicable law.
20. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent preempted by federal law.
Subject to the arbitration provisions above, any court proceeding arising out of or relating to these Terms, the Site, or the Services shall be brought in a court of competent jurisdiction located in the State of Florida, unless otherwise required by applicable law.
21. Force Majeure
First Coast Running Medicine will not be deemed in breach of these Terms or liable for any delay, failure, or interruption caused by events beyond our reasonable control, including acts of God, natural disasters, terrorism, war, invasion, civil disorder, strikes, labor disputes, public health emergencies, fire, flood, electrical outages, internet failures, public network failures, service provider outages, or governmental action.
22. Indemnification
You agree to defend, indemnify, and hold harmless First Coast Running Medicine and its affiliates from and against any and all demands, losses, liabilities, damages, claims, causes of action, actions, suits, fees, costs, and attorneys’ fees arising directly or indirectly out of or in connection with: your use or misuse of the Site or Services; your breach of these Terms or the Privacy Policy; information you provide to First Coast Running Medicine; your violation of applicable law; your infringement of third-party rights; or any negligent, wrongful, or unlawful act or omission by you.

Use of the Site on modified devices is at your sole risk.
25. No Liability for Select Third Parties
Your wireless carrier, mobile device manufacturer, mobile device retailer, operating system developer, application store operator, marketplace provider, payment processor, scheduling platform, website host, analytics provider, and other third-party service providers are not parties to these Terms and are not responsible for the Site or maintenance and support of the Site.
First Coast Running Medicine, and not such third parties, is responsible for addressing claims raised by you or any third party regarding the Site or your use of the Site, except as otherwise required by applicable third-party terms or law.
You are responsible for complying with applicable third-party terms and conditions.
26. Export Compliance
You agree to comply with applicable U.S. export laws concerning transmission of technical data and regulated materials via the Internet. You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
